year for three years, and two are to be elected on the fourth year. The
Executive Council shall determine the order in which the staggered
elections are to be administered.
(h) Eight members present and voting shall constitute a quorum for
conducting business of the Association at any regular or called meeting
of the Council.
7.4. The members of the Executive Council of the Association shall
not be liable to the Association or its members for monetary damages
for an act or omission in the council member's capacity as a council
member, except that this amendment shall not eliminate or limit the
liability of a council member for any of the matters described in Article
7.o6B (1)-(5) of the Texas Miscellaneous Corporation Laws Act.
7.5. The Executive Council by a two-thirds (2/3) vote of the Council
may designate a former member of the Council as a Lifetime Honorary
Member of the Council in recognition and appreciation of one's out-
standing contribution to the Council and the Association, but such indi-
vidual shall not have the right to vote on any matter before the Council.
ARTICLE VIII. DIRECTOR
8.1. The Director shall be appointed by the Executive Council and
shall be the Chief Operating Executive of the Association. The Director
shall be responsible for all operations of the Association, subject to the
policies set by the Executive Council. He shall be directly responsible to
and report to the Executive Council.
8.2. The Director must be an individual holding an academic or staff
appointment to the Department of History of The University of Texas
at Austin.
8.3. The Director shall be the Editor of the Southwestern Historzcal
Quarterly and shall appoint the Associate Editor and Editorial Assistants
of the Quarterly as needed. In this connection the Director shall be re-
sponsible for seeing that the material published in the Quarterly, includ-
ing the Book Reviews section, shall have a direct bearing upon the his-
tory of Texas.
8.4. The Director shall be directly in charge of all employed person-
nel of the Association.
8.5. The Director shall, subject to the concurrence of the Executive
Council, annually select members of the Publications Committee and
shall serve as Chairman of the committee. In this connection, in addi-
tion to the Director and President of the Association, the Publications
Committee shall consist of no more than eight (8) members, not less
than four (4). Not less than four (4) of the appointed committee mem-
bers shall be either Fellows of the Association or members of the Execu-
tive Council.175
