Minutes of Texas Stonewall Democratic Caucus Executive Board Conference Call

Topic Discussion
Roll Call 7:30PM Lynne Armstrong, Al Daniels, Roberto Flores, Jesse Garcia, Sarah Garrett, Olga
Vice - President Hernandez, Christina Ocasio, Lisa Thomas, Paul Tran, Steve Wichard. There is a
quorum.
Discussion The phone call was begun with the statement that the purpose of the phone call as set on
August 25, 2007 was to set the date of the next Executive Board and General Meeting.
The purpose of that meeting will be to review proposed by-laws and to ratify reviewed by-
laws at the General meeting. It was noted that other items of business could, if issues
arise, be raised.
There was a discussion about proxy voting. The TSDC By-laws state that no proxy voting
is allowed in Article VI, Section 3. It also states that the presidents or their authorized
representatives constitute the Executive Board in Article VI, Section1. It is unclear if a
Chapter President cannot attend if they can send a representative that can vote in their
stead. It was suggested that each President can send a representative to sit in the
meeting and vote as they are directed or their conscience. What was suggested that is
not allowed by the by-laws is for one president to allow another president to vote their
proxy and therefore have two votes. It was agreed that the SDEC allows a designated
representative or proxy to attend and vote in ones absence so that our interpretation
could stand. This will be checked out with the Parliamentarian.
There was also discussion about how many votes Jesse Garcia has on the Executive
Board. He is a Texas Board member of the NSD as well as a chapter President. This will
be checked out with the Parliamentarian also.
Motions The first motion (made by Lisa Thomas, seconded by _?) was to search out and
designate an experienced Parliamentarian outside of the Caucus to advise at the next
meeting. This Parliamentarian should have similar experience as Bill Howell and be
designated and announced at least one week prior to the meeting. Motion failed 2 to 6
The second motion (made by Jesse Garcia, seconded by _?) was to request Bill Howell
serve as our Parliamentarian at the next meeting. This motion was made with the
understanding that Mr. Howell, in the role of Parliamentarian, would not be able to state
his personal opinions but merely advise as to the By-laws and Robert's Rules of Order.
Motion passed 7 to 1.
The third motion (made by Lynne Armstrong, seconded by Olga Hernandez) was to set
the next Executive Board meeting for 12:00 noon on September 30, 2007 in the Austin
area with a General meeting to be held following the Executive Board meeting at 1:45 pm
at the same location. Address to be provided at a later time. Motion passed 9 to 0.
It was agreed, though not voted upon, that we needed to thank Bill Howell for his efforts in
preparing for the last meeting and his help and shared experience.
Meeting Adjourned The phone call was ended at 8:30 pm with wishing all a Happy Labor Day holiday.
