9 SECTION 68. Section 71.103, Business & Commerce Code, is
10 amended to read as follows:
11 Sec. 71.103. PLACE OF PILING. (a) The corporation,
12 limited partnership, [l]**9****l limited liability partnership,
13 [ew] limited liability company, or foreign filing entity shall file
14 the certificate in the office of the secretary of state and in the
15 office or offices of each county clerk as specified by Subsection
16 (b) or (c).

18 that maintains a registered office in this state shall file the
19 certificate in the office W[4e**'] of the county clerk of the
20 county in which the entity's:
